You are responsible for ensuring that any information you provide through the Website is accurate, complete, and current, and for maintaining the confidentiality of any account credentials or communications you use to interact with us.

4. Our Services

The Company provides professional property management services across the full spectrum of residential and commercial real estate, including apartment and residential property management, condominium association management, cooperative apartment management, commercial and nonresidential property management, resort and vacation property management, financial administration, maintenance and facility operations, and association governance and compliance support.

The specific scope, deliverables, timelines, fees, and responsibilities for any Services engagement will be defined in a separate written management agreement, statement of work, proposal, or quotation agreed between the parties. In the event of any conflict between these Terms and a specific service agreement, the specific service agreement shall prevail with respect to the matters it covers.

All Services are provided subject to the professional standards applicable to the property management industry, and we reserve the right to refuse or decline any engagement that we determine, in our reasonable judgment, to be outside our capabilities, contrary to law, or inconsistent with our professional ethics.

5. Property Management Engagements

When the Company provides property management Services to a Client, the scope of services, management fee, term, and other terms will be set out in a written management agreement. The Company will act as the Client's agent in accordance with the management agreement and applicable Wyoming law, and will exercise reasonable care in the performance of its duties.

The Client retains ownership and control of the property at all times. The Company does not have authority to sell, mortgage, or otherwise transfer ownership of any property without the express written authorization of the Client. The Company's authority is limited to the operational and administrative responsibilities delegated in the management agreement.

The Client agrees to provide the Company with access to the property, relevant documents (including leases, governing documents, and financial records), and any information necessary for the Company to perform its duties under the management agreement.

6. Residential Tenancy and Association Governance

For properties managed by the Company that are subject to leases, condominium declarations, cooperative proprietary leases, or association governing documents, the Company administers these arrangements on behalf of the property owner or association. Residents, tenants, and association members are bound by the terms of their leases, governing documents, and applicable law, and the Company enforces such terms on behalf of the owner or association.

The Company is committed to compliance with all applicable fair housing laws, including the federal Fair Housing Act and Wyoming fair housing statutes. We do not discriminate in the rental, lease, or occupancy of any property we manage on the basis of race, color, religion, sex, national origin, familial status, disability, or any other characteristic protected by law.

Residents and tenants acknowledge that the Company acts on behalf of the property owner or association, and that disputes regarding lease terms, association rules, or occupancy matters should be directed to the Company as the authorized agent. The Company will make reasonable efforts to resolve disputes in a fair and professional manner.

7. Maintenance and Repairs

The Company coordinates maintenance and repairs for managed properties in accordance with the management agreement and applicable governing documents. Routine maintenance is handled through the Company's vendor network, and emergency maintenance is available on a 24/7 basis for urgent situations that pose a risk to life, safety, or property.

Residents and tenants are responsible for reporting maintenance issues promptly and for maintaining the property in a reasonable manner. The Company is not responsible for damage caused by resident or tenant negligence, misuse, or failure to report maintenance issues in a timely manner.

The Company selects vendors and contractors based on qualifications, reliability, and cost-effectiveness. While the Company exercises reasonable care in vendor selection and oversight, it is not responsible for the acts or omissions of independent contractors beyond its control. Vendors and contractors maintain their own insurance and are responsible for the quality of their work.

8. Financial Administration

The Company provides financial administration services for managed properties, including budget preparation, assessment and rent collection, vendor payment, and financial reporting. All financial activities are conducted in accordance with the management agreement and applicable accounting standards.

The Company maintains separate accounting for each property and association and does not commingle funds between properties or with the Company's own operating funds. Client funds are held in designated trust or operating accounts as required by applicable law and the management agreement.

Financial reports are provided to Clients and association boards on the schedule set out in the management agreement. Clients and boards are responsible for reviewing financial reports promptly and raising any questions or concerns within a reasonable period.

9. Intellectual Property Rights

All Content on the Website, including text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of WYOMING WILDFLOWER PROPERTIES LLC or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any Content without our prior written consent.

Any reports, documents, or materials created by the Company in the course of providing Services to a Client are the property of the Client, subject to the Company's right to retain copies for its records and to use aggregated, anonymized data for business improvement purposes. The Company retains ownership of its proprietary methodologies, templates, and tools used in the delivery of Services.

10. Fees and Payment

Fees for Services will be as set out in the applicable management agreement, proposal, or quotation. Unless otherwise stated, all fees are quoted in United States dollars and are exclusive of applicable taxes, duties, or levies, which shall be the responsibility of the Client.

Management fees may be structured as a percentage of collected rent, a flat monthly fee, or a combination, as specified in the management agreement. The Company may also pass through certain costs, such as vendor invoices and permit fees, at cost. Payment terms will be specified in the applicable agreement.

For residents and tenants, rent, assessments, and other charges are due as specified in the lease or governing documents. Late fees and other charges may apply in accordance with the lease, governing documents, and applicable law. The Company reserves the right to pursue collection of delinquent amounts through lawful means, including eviction proceedings where authorized by the property owner or association.

11. Confidentiality

Each party may have access to confidential information of the other party in the course of a Services engagement. "Confidential information" includes any non-public business, financial, tenant, owner, or operational information, whether disclosed orally, in writing, or electronically, that is marked as confidential or that a reasonable person would understand to be confidential under the circumstances.

Each party agrees to use the other party's confidential information solely for the purpose of performing its obligations under the applicable agreement, to protect it with at least the same degree of care used to protect its own confidential information, and not to disclose it to any third party without the prior written consent of the disclosing party, except where disclosure is required by law, regulation, or court order.

The Company takes particular care with resident and tenant information, including lease details, payment histories, and personal information, and handles such information in accordance with applicable privacy laws and the Company's Privacy Policy.

These confidentiality obligations shall survive the termination or expiration of any engagement and shall continue for a period of five (5) years thereafter, or indefinitely for trade secrets.

12. Warranties and Disclaimer

The Company warrants that Services will be performed in a professional and workmanlike manner in accordance with industry standards and the specifications set out in the applicable management agreement. If the Client notifies the Company in writing of a material deficiency within thirty (30) days of the occurrence, the Company will, at its option, correct the deficiency or issue a credit for the applicable fees.

Except for the foregoing warranty and to the maximum extent permitted by law, the Website and Services are provided "as is" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation. The Company does not warrant that any property will be free from maintenance issues, that any tenant will fulfill their lease obligations, or that any association will operate without dispute, as these matters depend on factors outside the Company's reasonable control.

13. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, loss of data, loss of goodwill, business interruption, or cost of substitute services, arising out of or in connection with the Website, the Services, or these Terms, whether based on contract, tort, negligence, strict liability, or otherwise, even if the Company has been advised of the possibility of such damages.

To the maximum extent permitted by law, the Company's total aggregate liability for all claims arising out of or relating to the Services or these Terms shall not exceed the total management fees paid by the Client to the Company for the specific property giving rise to the claim during the twelve (12) months preceding the claim. The Company shall not be liable for the acts or omissions of residents, tenants, vendors, contractors, or third parties, or for events outside its reasonable control, including natural disasters, utility failures, or government actions.

Certain jurisdictions do not allow the exclusion or limitation of certain damages, so some of the limitations above may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless WYOMING WILDFLOWER PROPERTIES LLC, its officers, members, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Website; (b) your violation of these Terms; (c) your violation of any rights of a third party, including intellectual property or privacy rights; (d) your breach of any lease, governing document, or applicable law; or (e) any content or information you provide to us that is inaccurate, misleading, or unauthorized.

Where the Company provides Services to a Client, the allocation of liability between the parties shall be as set out in the applicable management agreement, which may include mutual indemnification provisions appropriate to the nature of the engagement. The Company maintains errors and omissions insurance and general liability insurance as appropriate for the property management industry.

15. Term and Termination

These Terms remain in effect for as long as you access or use the Website. We may terminate or suspend your access to the Website, in whole or in part, at any time and without notice, for any reason, including without limitation if we believe you have violated these Terms.

Property management engagements are governed by the term and termination provisions of the applicable management agreement. Either party may terminate a management engagement for material breach if the breach remains uncured for the period specified in the agreement after written notice. Upon termination, the Client shall pay for all Services performed and expenses incurred up to the date of termination, and the Company shall transition management responsibilities to the Client or its designated successor in an orderly manner.

Residents and tenants remain subject to the terms of their leases or governing documents, which specify the conditions and procedures for termination of tenancy. The Company will administer lease terminations and evictions in accordance with applicable law and the instructions of the property owner or association.

Provisions of these Terms that by their nature should survive termination, including intellectual property, confidentiality, warranties, limitation of liability, indemnification, and governing law, shall survive any termination or expiration.

16. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to them, the Website, or the Services shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms, the Website, or the Services that cannot be resolved through good-faith negotiation shall be resolved exclusively in the state or federal courts located in the State of Wyoming, and each party hereby consents to the personal jurisdiction of such courts. To the extent permitted by law, each party waives any right to a trial by jury in any such proceeding. Any claim must be commenced within one (1) year after the cause of action accrues, except where a longer period is required by applicable law.

17. User Conduct

In connection with your use of the Website, you agree that you will not:

  • Violate any applicable law, regulation, or third-party right
  • Transmit any virus, malware, harmful code, or disruptive content
  • Attempt to gain unauthorized access to the Website, our systems, or other users' data
  • Interfere with or disrupt the operation of the Website or any connected networks
  • Use the Website to send unsolicited communications, spam, or fraudulent messages
  • Misrepresent your identity or affiliation with any person or entity
  • Collect or harvest personal information of other users without their consent
  • Use the Website in any manner that could damage, disable, or impair the Website

We reserve the right to investigate and take appropriate action against any conduct that violates these Terms, including removing content, restricting access, and cooperating with law enforcement where appropriate.

18. Third-Party Links and Resources

The Website may contain links to third-party websites, applications, or resources. These links are provided for your convenience only, and we do not control, endorse, or assume any responsibility for the content, products, or services offered by such third parties.

Your use of any third-party website or resource is at your own risk and is subject to the terms and policies of the applicable third party. We recommend that you review the terms of service and privacy policies of any third-party website before using it.

19. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms or any applicable agreement where such failure or delay results from circumstances beyond its reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, pandemics, government action, power failures, telecommunications or internet outages, or failures of third-party infrastructure, suppliers, or vendors.

The affected party shall notify the other party as soon as reasonably practicable of the nature and expected duration of the force majeure event and shall use reasonable efforts to mitigate its impact. If a force majeure event continues for more than thirty (30) days, either party may terminate the affected engagement upon written notice.

20. Entire Agreement

These Terms, together with any management agreement, statement of work, proposal, quotation, order form, or other documents expressly incorporated by reference, constitute the entire agreement between you and the Company regarding the subject matter hereof and supersede all prior or contemporaneous understandings, representations, negotiations, and agreements, whether written or oral.

No modification of these Terms shall be effective unless in writing and signed by an authorized representative of the Company. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable.

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision, and no waiver shall be effective unless made in writing and signed by the waiving party.

21. Changes to These Terms

We may revise these Terms from time to time to reflect changes in our Services, business practices, legal requirements, or other factors. When we make material changes, we will update the "Effective Date" at the top of these Terms and, where appropriate, notify you through the Website.
